Primeline Energy Holdings Inc. - Company History

Primeline Energy Holding Inc. ("Primeline") and Primeline Petroleum Corporation ("PPC")

PPC was originally formed by the Hwang family in 1993 to capitalise on upstream petroleum business opportunities generated by China's dynamic economic growth.

In December 1994, PPC signed a petroleum contract with CNOOC for a contract area of 4,500 sq km in the East China Sea known as Block 32/32.

On 25th April 1995, PPC assigned 75% of its interest in the petroleum contract for Block 32/32 to Primeline Energy China Ltd. ("PECL"). On the same day, PPC and PECL jointly designated Primeline Energy Operations International Ltd. ("PEOIL") as the operator of Block 32/32.

On 30th June 1995, Primeline acquired all of the issued and outstanding shares of a listed company, Consolidated Canadian Ventures Corp. ("CCV"), under a "Plan of Arrangement". The listing of CCV shares on the Vancouver Stock Exchange ("VSE") was withdrawn and Primeline's shares were listed on 14th July 1995 as PEH on the VSE, which has since become the TSX Venture Exchange in Canada. Contemporaneously with the closing of the Plan of Arrangement, Primeline acquired all of the shares of PECL and PEOIL.

In 2005, the petroleum contract for Block 32/32 was allowed to lapse and the current Petroleum Contract for Block 25/34, which encompasses a larger area while including the material parts of the original Block 32/32, was entered into.

The Hwang Family and PPC

The owner of PPC is Victor Hwang who is also the major shareholder of Primeline. The Hwang family business is headquartered in Hong Kong and they have substantial property and other investments in Hong Kong, Singapore, Beijing, London and elsewhere throughout the world.

Mr. Hwang is Chairman of Primeline's Board of Directors.
